Flat Line Company Inc. - Electronic File License Agreement
Effective for files purchased from flatlinecompany.ca
By purchasing, downloading, or using any 3D model file (the “File”) from Flat Line Company Inc. (“FLC”), you (“Licensee”) agree to the following terms.
1. Grant of License
FLC grants Licensee a non-exclusive, non-transferable, revocable license to:
• Download and store the File for personal or internal business use; and
• 3D print physical copies of the File for personal use or use within Licensee’s own organization.
2. Restrictions
Licensee shall not:
• Redistribute, share, resell, sublicense, or otherwise transfer the File, in original or modified form, whether for free or for payment;
• Sell, offer for sale, or commercially distribute physical prints of the File or any derivative;
• Upload the File to any public repository, file-sharing service, marketplace, or model library;
• Use the File or prints of it as part of a commercial 3D printing service offered to third parties;
• Remove, alter, or obscure any identifying marks, watermarks, or attribution embedded in the File.
3. Ownership
The File is licensed, not sold. FLC retains all right, title, and interest in the File, including all intellectual property rights. All rights not expressly granted are reserved.
4. Derivative Works
Licensee may modify the File for personal or internal use only. Any modifications remain subject to this Agreement. Distribution of modified files is prohibited under Section 2.
5. No Warranty
The File is provided “AS IS” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. FLC does not warrant that prints produced from the File will be suitable for any particular use, including medical, clinical, or safety-critical applications.
6. Limitation of Liability
To the maximum extent permitted by law, FLC’s total liability arising from or related to the File or this Agreement shall not exceed the amount Licensee paid for the File. FLC shall not be liable for indirect, incidental, consequential, or punitive damages.
7. Use in Medical or Safety-Critical Contexts
Licensee acknowledges that prints produced from the File are not medical devices and have not been approved by Health Canada, the United States Food and Drug Administration, or any other regulatory body. Any use in clinical, patient-care, or safety-critical settings is at Licensee’s sole risk and responsibility.
8. Termination
This license terminates automatically if Licensee breaches any term. Upon termination, Licensee must delete all copies of the File.
9. Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Ontario.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the File and supersedes any prior understandings.
